Interpretation
釋義
1 . In these Regulations
一、在本章程中
" Act " means the companies Act ;
"法規(guī)" ( Act) 指 《公司法》 ；
" seal" means the common seal of the company ;
“印鑒”指公司的通常印鑒；
" secretary" means any person appointed to perform the duties of a secretary of the company ;
“書記員” ( secretary ）指任何被指派履行公司書記員職務(wù)的人；
expressions referring to writing shall , unless the contrary intention appears , be construed as including references to printing， lithography , photography and other modes of representing or reproducing words in a visible form ;
如無相反旨意，書面表達形式應(yīng)解釋為包括鉛印、版印、影印及其他以可見形式呈現(xiàn)或復(fù)制文字的模式；
words or expressions contained in these Regulations shall be interpreted in accordance with the provisions of the Interpretation Act , and of the Act as in force at the date at which these Regulations become binding on the company.
本章程所含的單詞和詞組應(yīng)按 《 法律解釋法 》 以及本章程對公司產(chǎn)生約束力之日有效的 《 公司法 》 的規(guī)定予以解釋。
Share capital and variation of rights
股本和權(quán)利類別
2 . Without prejudice to any special rights previously conferred on the holders of any existing shares or class of shares but Subject to the Act , shares in the company rnay be issued by the directors and any such shares may be issued with such preferred , deferred , or other special rights or such restrictions , whether in regard to dividend , voting， return of capital , or otherwise , as the directors , subject to any ordinary resolution of the company , determine .
二、根據(jù) 《 公司法 》 規(guī)定，董事會可發(fā)行公司股票，所發(fā)行的股票可附有董事會按公司通常決議所決定的有關(guān)紅利、投票、資本利潤率，或其他事項的優(yōu)先、延期，或其他特殊權(quán)利或限制，但不得影響已經(jīng)授予任何現(xiàn)存股票股東的任何特權(quán)。
3 . Subject to the Act , any preference shares may , with the sanction of an ordinary resolution , be issued on the terms that they are , or at the option of the company are liable , to be redeemed .
三、根據(jù) 《 公司法 》 ，經(jīng)一般決議通過，任何優(yōu)先股均可發(fā)行為可贖股份，或按公司意愿，發(fā)行成必須贖回的股份。
4 . If at any time the share capital 15 divided into different classes of shares , the rights attached to any class ( unless otherwise provided by the terms of issue of the shares of that class ) may , whether or not the company is being wound up , be varied with the consent in writing of the holders of 75 % of the issued shares of that class , or with the sanction of a special resolution passed at a separate general meeting of the holders of the shares of the class . To every such separate general meeting the provisions of these Regulations relating to general meetings shall mutatis mutandis apply , but so that the necessary quorum shall be two persons at least holding or representing by proxy one 一 third of the issued shares of the class and that any holder of shares of the class present in person or by proxy may demand a poll.
四、當(dāng)股份資本分為不同種類的股票時，每種股票所附帶的權(quán)利（除非該種股票的發(fā)行條件另有規(guī)定），經(jīng)該種發(fā)行股票 75 ％的股民書面認可，或經(jīng)該種股票股民召開股東特別大會通過決議專門許可，則可以變更。本章程有關(guān)股東大會的規(guī)定在細節(jié)上作必要修改后可適用于此種股東特別大會，但會議法定人數(shù)至少必須為兩人，持有或代表該發(fā)行股票三分之一的股份，且任何參加大會的股東或股東代表均可要求進行投票。
5 . The rights conferred upon the holders of the shares of any class issued with preferred or other rights shall , unless otherwise expressly provided by the terms of issue of the shares of that class , be deemed to be varied by the creation or issue of further shares ranking equally therewith .
五、股民所擁有的優(yōu)先股的權(quán)利或其他權(quán)利，除非股票發(fā)行條款另有明文規(guī)定，均應(yīng)視為可因設(shè)立或發(fā)行同等股票而作變更。
6 . The company may exercise the powers of paying commissions conferred by the Act , pro - vided that the rate per cent or the amount of the commission paid or agreed to be paid shall be disclosed in the manner required by the Act and the commission shall not exceed the rate of 10 % of the price at which the shares in respect whereof the same is paid are issued or an amount equal to 10 % of that price ( as the case may be ) . Such commission may be satisfied by the payment of cash or the allotment of fully or partly paid shares or partly in one way and partly in the other . The company may also on any issue of shares pay such brokerage as may be lawful .
六、公司有權(quán)按 《 公司法 》 規(guī)定支付傭金，但應(yīng)將支付或同意支付的傭金比率或數(shù)額按 《 公司法 》 規(guī)定的方式予以披露，且傭金比率不得超過有關(guān)股份發(fā)行價格的 10 % ，或傭金數(shù)額不得超過等同于該發(fā)行價格 10 ％的數(shù)額（依情況而定）。此種傭金可用現(xiàn)金支付，或用繳清股款或繳清部分股款的股票支付，或部分用現(xiàn)金部分用股票支付。在每次發(fā)行股票時，公司也可依法如此支付經(jīng)紀費。

13.裝運條款：
□FOB
賣方應(yīng)在合同規(guī)定的裝運日期前30天，以電報/電傳/傳真通知買方合同號、品名、數(shù)量、金額、包裝件、毛重、尺碼及裝運港可裝日期，以便買方安排租船/訂艙。裝運船只按期到達裝運港后，如賣方不能按時裝船，發(fā)生的空船費或滯期費由賣方負擔(dān)。在貨物超過船舷并脫離吊鉤以前一切費用和風(fēng)險由賣方負擔(dān)。
The sellers shall , 30 days before the shipment date specified in the contract advise the buyers by CABLE / TELEX /FAX of the contract No. , commodity , quantity , amount , packages , gross weight , measurement , and the date of shipment in order that the buyers can charter a vessel / book shipping space . In the event of the sellers’ failure to effect loading when the vessel arrives duly at the loading port , all expenses including dead freight and / or demurrage charges thus incurred shall be for seller’s account.

CIF and CFR
賣方須按時在裝運期限內(nèi)將貨物由裝運港裝船到目的港。在CFR術(shù)語下，賣方應(yīng)在裝船前2天電傳/傳真/電報買方合同號、品名、發(fā)票價值及開船日期，以便買方安排保險。
The sellers shall ship the goods duly within the shipping duration from the port of shipment to the port of destination . Under CFR terms , the sellers shall advise the buyers by CABLE/FAX/TELEX of the contract No. , commodity , invoice value and the date of despatch two days before the shipment for the buyers to arrange insurance in time.

賣方須按時在裝運期限內(nèi)將貨物由裝運港裝運至目的港。
The sellers shall ship the goods duly within the shipping duration from the port of the port of destination .

14.裝運通知
shipping advice :
一件裝載完畢，賣方應(yīng)在____小時內(nèi)電傳/傳真/電報買方合同編號、品名、已發(fā)運數(shù)量、發(fā)票總金額、毛重、船名/車/機號及啟程日期等。
The sellers shall immediately upon the completion of the loading of the goods , advise buyers of the contract No., names of commodity , loading quantity , invoice values , gross weight , name of vessel and shipment date by TLX/FAX/CABLE within _____hours .
15.質(zhì)量保證：
Quality guarantee :
貨物品質(zhì)規(guī)格必須符合本合同及質(zhì)量保證書之規(guī)定，品質(zhì)保證期為貨到目的港_____個月內(nèi)，在保證期限內(nèi)，因制造廠商在設(shè)計制造過程中的缺陷造成的貨物損害應(yīng)由賣方負責(zé)賠償。
The sellers shall guarantee that the commodity must be in conformity with the quality and specifications specified in this contract and Letter of Quality Guarantee .The guarantee period shall be months after the arrival of the goods at the port of destination , and during the period the sellers shall be responsible for the damage due to the defects in designing and manufacturing of the manufacturer.
16.商品檢驗：賣方須在裝運前_____日委托檢驗機構(gòu)對合同之貨物進行檢驗并出具檢驗證書，貨到目的港后，由買方委托____檢驗機構(gòu)進行復(fù)檢。
Goods inspection : The sellers shall have the goods inspected by Inspection Authority days before the shipment and issued the Inspection Certificate . The buyers shall have the goods reinspected by Inspection Authority after the goods arrival at the destination.
17.索賠
Claims:
如經(jīng)中國_____檢驗機構(gòu)復(fù)檢，發(fā)現(xiàn)貨物有損壞、殘缺或品名、規(guī)格、數(shù)量及質(zhì)量與本合同及質(zhì)量保證書之規(guī)定不符，買方可于貨到目的港后天內(nèi)憑上述檢驗機構(gòu)出具的證明書向賣方要求索賠。如上述規(guī)定之索賠期與質(zhì)量保證期不一致，在質(zhì)量保證期限內(nèi)買方仍可向賣方就質(zhì)量保證條款之內(nèi)容向賣方提出索賠。
The buyers shall lodge claims against the sellers based on the Inspection Certificate issued by China Inspection Authority Days after the arrival of the goods at the destination , if the goods are found to be damaged , missing or the specifications , quantity, and quality not in conformity with those specified in this contract and Letter of Quality Guarantee . In case the claim period above specified is not in conformity with the quality guarantee period, during the quality guarantee period, the buyers have rights to lodge claims against the sellers concerning the quality guarantee.
18.延期交貨違約金
Late delivery and penalty
除雙方認可的不可抗力因素外，賣方遲于合同規(guī)定的期限交貨，如買方同意遲延交貨，賣方應(yīng)同意對信用證有關(guān)條款進行個性和同意銀行在議付貨款時扣除本條規(guī)定的違約金。違約金總值不超過貨物總價值的5%，差率按7天0.5%計算，不滿7天仍按7天計算。在未采用信用證支付的情況下，賣方應(yīng)將前述方法計算的違約金即付買方。
If the sellers fail to make delivery on time as stipulated in the contract , with exception of Force Majeure, the buyers shall agree to postpone the delivery on conditions that the sellers agree to amend the clauses of the L/C and pay a penalty which shall be deducted by the paying bank from the payment under negotiation . The penalty , however , shall not exceed 5% of the total value of the goods . The rate of penalty is charged at 0.5%for every seven days , if less that seven days. In case , the payment is not made through L/C , the sellers shall pay the penalty counted as above to the buyers as soon as possible.
19.人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履約，賣方概不負責(zé)，但賣方應(yīng)將上述發(fā)生的情況及
時通知買方。
Force Majeure : The sellers shall not hold any responsibility for partial or total non-performance of this contract due to Force Majeure . But the sellers shall advise the buyers on times of such occurrence.
20.爭議之解決方式：
Disputes settlement :
□任何因本合同而發(fā)生或與本合同有關(guān)的爭議，應(yīng)提交中國國際經(jīng)濟貿(mào)易仲裁委員會，按該會的仲裁規(guī)則進行仲裁。仲裁地點在中國深圳。仲裁裁決是終局的，對雙方均有約束力。
All disputes arising out of the contract or in connection with the contract , shall be submitted to the China International Economic and Trade Arbitration Commission for arbitration in accordance with its Rules of Arbitration in ShenZhen China . The arbitral award is final and binding upon both parties.

21.法律適用
Law application :
本合同之簽訂地、或發(fā)生爭議時貨物所在地在中華人民共和國境內(nèi)或被訴人為中國法人的，適用中華人民共和國法律，除此規(guī)定外，適用《聯(lián)合國國際貨物銷售公約》。
It will be governed by the law of the People’s Republic of China under the circumstances that the contract is singed or the goods while the disputes arising are in the People’s Republic of China or the deffendant is Chinese legal person , otherwise it is governed by United Nations Convention on Contract for the International Sale of Goods .
22.本合同使用的FOB、CFR、CIF、DDU 術(shù)語系根據(jù)國際商會《Incoterms 1990》
23.文字：本合同中、英兩種文字具有同等法律效力，在文字解釋上，若有異議，以中文解釋為準。
Versions : This contract is made out in both Chinese and English of which version is equally effective .Conflicts between these two language arising therefrom . if any , shall be subject to Chinese version .

12.檢驗與索賠：
�、儋u方在發(fā)貨前由檢驗機構(gòu)對貨物的品質(zhì)、規(guī)格和數(shù)量進行檢驗，并出具檢驗證明書。
�、谪浳锏竭_目的的口岸后，買方可委托當(dāng)?shù)氐纳唐窓z驗機構(gòu)對貨物進行復(fù)檢。如果發(fā)現(xiàn)貨物有損壞、殘缺或規(guī)格、數(shù)量與合同規(guī)定不符，買方須于貨到目的口岸的天內(nèi)憑檢驗機構(gòu)出具的檢驗證明書向賣方索賠。
�、廴缳I方提供索賠，凡屬品質(zhì)異議須于貨到目的的口岸之日起天提出;凡屬數(shù)量異議須于貨到目的口岸之日起天提出。對所裝貨物所提任何異議應(yīng)由保險公司、運輸公司或郵遞機構(gòu)負責(zé)的，賣方不負任何責(zé)任。
13.人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履約，賣方概不負責(zé)，但賣方應(yīng)將上述發(fā)生的情況及時通知買方。forcemajeure：thesellersshallnotholdanyresponsibilityforpartialortotalnon-performanceofthiscontractduetoforcemajeure.butthesellersshalladvisethebuyersontimesofsuchoccurrence.
14.爭議之解決方式：
disputessettlement：任何因本合同而發(fā)生或與本合同有關(guān)的爭議，應(yīng)提交中國國際經(jīng)濟貿(mào)易仲裁委員會，按該會的仲裁規(guī)則進行仲裁。仲裁地點在中國深圳。仲裁裁決是終局的，對雙方均有約束力。
15.法律適用
本合同之簽訂地、或發(fā)生爭議時貨物所在地在中華人民共和國境內(nèi)或被訴人為中國法人的，適用中華人民共和國法律，除此規(guī)定外，適用《聯(lián)合國國際貨物銷售公約》。
本合同使用的fob、cfr、cif、ddu術(shù)語系根據(jù)國際商會《incoterms1990》
16.文字：本合同中、英兩種文字具有同等法律效力，在文字解釋上，若有異議，以中文解釋為準。
