　　訂立本協(xié)議旨在為提供及時(shí)優(yōu)先的生產(chǎn)服務(wù)，質(zhì)量?jī)?yōu)異的產(chǎn)品和專業(yè)高效的國際貿(mào)易配套服務(wù)。甲乙雙方本著平等互利的原則，經(jīng)友好協(xié)商，達(dá)成以下合作協(xié)議：

　　一、合作目的

　　雙方充分利用各自的資源和條件開展合作，互利互惠，共同發(fā)展。

　　二、合作期限

　　雙方的合作期為______年，從______年______月______日至______年______月______日，有效期滿雙方另行續(xù)約。

　　三、甲乙雙方的權(quán)利

　　1、甲方為乙方提供辦公和展廳場(chǎng)所，按______元/月收取租金和______元/月管理費(fèi)用，總計(jì)：______元/月，每月______號(hào)前按時(shí)繳納。另甲方收取乙方______元作為場(chǎng)地按金；經(jīng)雙方友好協(xié)商不再合作，按金予以退回乙方。

　　2、乙方自行對(duì)辦公和展廳場(chǎng)所進(jìn)行設(shè)計(jì)裝修及辦公環(huán)境布置；到合同期滿，不再續(xù)約時(shí)，乙方可將能移動(dòng)的辦公及展廳的物品搬走，不能移動(dòng)的物品不能拆卸。

　　3、甲方視自身實(shí)際情況，盡可能為乙方員工提供宿舍，若能提供，宿舍租金按______元/間/月收取，水電由乙方員工自理。

　　4、從本協(xié)議簽訂之日起，乙方自動(dòng)成為甲方的國際貿(mào)易銷售渠道；甲方自身不設(shè)國際貿(mào)易銷售部門；未經(jīng)乙方允許，甲方不得以任何方式撇開乙方，直接或者間接借用第三方名義和乙方客戶發(fā)生業(yè)務(wù)關(guān)系。

　　5、在本協(xié)議有效期內(nèi)，甲方獨(dú)家享有從乙方處間接獲取訂單的權(quán)利。未經(jīng)甲方允許，乙方不得將已經(jīng)委托甲方生產(chǎn)的具體型號(hào)貼牌產(chǎn)品的訂單轉(zhuǎn)移至其他工廠生產(chǎn)；遇甲方生產(chǎn)飽和，乙方有權(quán)要求將訂單轉(zhuǎn)移至其他工廠生產(chǎn)，但須得到甲方同意。

　　6、乙方的訂單產(chǎn)品，甲方按乙方指定的材料及加工成本核算，在此基礎(chǔ)上按難易程度只收取元/套的加工費(fèi)用，規(guī)格限于______，超出此規(guī)格的另外計(jì)算。若乙方客戶所訂產(chǎn)品是甲方自身開發(fā)的固有產(chǎn)品型號(hào)，甲方按出廠價(jià)的______折優(yōu)惠價(jià)格提供給乙方，如所訂甲方固有產(chǎn)品型號(hào)單款單色超______套以上可按乙方指定材料和固定加工費(fèi)收取，增強(qiáng)乙方的競(jìng)爭(zhēng)力。

　　8、在本協(xié)議有效期內(nèi)，乙方可使用甲方自身展廳、辦公環(huán)境設(shè)施、產(chǎn)品質(zhì)量檢驗(yàn)證書和工廠生產(chǎn)環(huán)境規(guī)模等資源，拓展國際貿(mào)易銷售業(yè)務(wù)。

　　四、甲乙雙方的義務(wù)

　　1、甲方的義務(wù)

　　（1）乙方對(duì)甲方下發(fā)的訂單合同，應(yīng)當(dāng)仔細(xì)閱讀，全面理解。甲方負(fù)責(zé)人應(yīng)和乙方采購人員詳細(xì)溝通，對(duì)合同確認(rèn)無誤后，甲方應(yīng)及時(shí)將訂單合同蓋章回傳給乙方。

　�。�2）對(duì)乙方客戶反饋回來的產(chǎn)品質(zhì)量問題或產(chǎn)品改良要求，甲方必須嚴(yán)肅對(duì)待，及時(shí)拿出切實(shí)有效的解決方案。對(duì)于乙方提出的建議，甲方必須認(rèn)真參考，并主動(dòng)配合乙方的監(jiān)督。

　�。�3）對(duì)于乙方貼牌產(chǎn)品，甲方應(yīng)主動(dòng)配合乙方在貼牌產(chǎn)品的生產(chǎn)和出貨環(huán)節(jié)的監(jiān)督、驗(yàn)貨等工作，如甲方對(duì)乙方的監(jiān)督、驗(yàn)貨工作拒不配合，甲方對(duì)出貨產(chǎn)品的質(zhì)量負(fù)全責(zé)，乙方不再承擔(dān)任何連帶責(zé)任。

　　2、乙方的義務(wù)

　�。�1）乙方必須從維護(hù)甲乙雙方的共同利益角度出發(fā)，謹(jǐn)慎處理與客戶的關(guān)系，乙方必須專人專項(xiàng)專業(yè)跟蹤，高效處理。

　�。�2）乙方應(yīng)根據(jù)客戶的要求，向甲方下發(fā)內(nèi)容清晰，要求明確的訂單合同；在每次下發(fā)訂單合同時(shí)，乙方采購人員應(yīng)和甲方負(fù)責(zé)人詳細(xì)溝通，直至甲方對(duì)合同確認(rèn)無誤，并將訂單合同蓋章確認(rèn)回傳。

　　（3）對(duì)客戶反饋回來的產(chǎn)品質(zhì)量問題或產(chǎn)品改良要求，乙方必須和甲方充分溝通，并對(duì)甲方采取的措施有建議和監(jiān)督的義務(wù)。

　　五、商業(yè)保密

　　甲乙雙方在合作期間，必須審慎對(duì)待并恪守雙方制定的各種保密制度，履行與其工作崗位相應(yīng)的保密職責(zé)，除非已征得對(duì)方正式書面授權(quán)，不得隨意使用或披露屬于對(duì)方所有的商業(yè)秘密。

　　六、違約責(zé)任

　　1、甲方和乙方應(yīng)正當(dāng)行使權(quán)利，履行義務(wù)，保證本協(xié)議的順利進(jìn)行。

　　2、任何一方?jīng)]有充分、及時(shí)履行義務(wù)的，應(yīng)當(dāng)承擔(dān)違約責(zé)任；給其他方造成損失的，應(yīng)賠償其他方由此所遭受的直接和間接經(jīng)濟(jì)損失。

　　七、爭(zhēng)議解決

　　協(xié)議有效期內(nèi)，若雙方發(fā)生任何爭(zhēng)議，應(yīng)本著相互諒解、互惠互利的原則協(xié)商解決。如果協(xié)商不成，雙方可向______方所在地人民法院訴訟。

　　13.裝運(yùn)條款：

　　FOB

　　賣方應(yīng)在合同規(guī)定的裝運(yùn)日期前30天，以電報(bào)/電傳/傳真通知買方合同號(hào)、品名、數(shù)量、金額、包裝件、毛重、尺碼及裝運(yùn)港可裝日期，以便買方安排租船/訂艙。裝運(yùn)船只按期到達(dá)裝運(yùn)港后，如賣方不能按時(shí)裝船，發(fā)生的空船費(fèi)或滯期費(fèi)由賣方負(fù)擔(dān)。在貨物超過船舷并脫離吊鉤以前一切費(fèi)用和風(fēng)險(xiǎn)由賣方負(fù)擔(dān)。

In the event of the sellers’ failure to effect loading when the vessel arrives duly at the loading port , all expenses including dead freight and / or demurrage charges thus incurred shall be for seller’s account.

　　賣方須按時(shí)在裝運(yùn)期限內(nèi)將貨物由裝運(yùn)港裝船到目的港。在CFR術(shù)語下，賣方應(yīng)在裝船前2天電傳/傳真/電報(bào)買方合同號(hào)、品名、發(fā)票價(jià)值及開船日期，以便買方安排保險(xiǎn)。

　　The sellers shall ship the goods duly within the shipping duration from the port of shipment to the port of destination . Under CFR terms , the sellers shall advise the buyers by CABLE/FA某/TELE某 of the contract No. , commodity , invoice value and the date of despatch two days before the shipment for the buyers to arrange insurance in time.

　　賣方須按時(shí)在裝運(yùn)期限內(nèi)將貨物由裝運(yùn)港裝運(yùn)至目的港。

　　14.裝運(yùn)通知

　　一件裝載完畢，賣方應(yīng)在____小時(shí)內(nèi)電傳/傳真/電報(bào)買方合同編號(hào)、品名、已發(fā)運(yùn)數(shù)量、發(fā)票總金額、毛重、船名/車/機(jī)號(hào)及啟程日期等。

　　The sellers shall immediately upon the completion of the loading of the goods , advise buyers of the contract No., names of commodity , loading quantity , invoice values , gross weight , name of vessel and shipment date by TL某/FA某/CABLE within _____hours .

　　15.質(zhì)量保證：

　　Quality guarantee :

　　貨物品質(zhì)規(guī)格必須符合本合同及質(zhì)量保證書之規(guī)定，品質(zhì)保證期為貨到目的港_____個(gè)月內(nèi)，在保證期限內(nèi)，因制造廠商在設(shè)計(jì)制造過程中的缺陷造成的貨物損害應(yīng)由賣方負(fù)責(zé)賠償。

　　The sellers shall guarantee that the commodity must be in conformity with the quality and specifications specified in this contract and Letter of Quality Guarantee .The guarantee period shall be months after the arrival of the goods at the port of destination , and during the period the sellers shall be responsible for the damage due to the defects in designing and manufacturing of the manufacturer.

　　16.商品檢驗(yàn)：賣方須在裝運(yùn)前_____日委托 檢驗(yàn)機(jī)構(gòu)對(duì)合同之貨物進(jìn)行檢驗(yàn)并出具檢驗(yàn)證書，貨到目的港后，由買方委托____檢驗(yàn)機(jī)構(gòu)進(jìn)行復(fù)檢。

　　Goods inspection : The sellers shall have the goods inspected by Inspection Authority days before the shipment and issued the Inspection Certificate . The buyers shall have the goods reinspected by Inspection Authority after the goods arrival at the destination.

　　17.索賠

　　Claims:

　　如經(jīng)中國_____檢驗(yàn)機(jī)構(gòu)復(fù)檢，發(fā)現(xiàn)貨物有損壞、殘缺或品名、規(guī)格、數(shù)量及質(zhì)量與本合同及質(zhì)量保證書之規(guī)定不符，買方可于貨到目的港后 天內(nèi)憑上述檢驗(yàn)機(jī)構(gòu)出具的證明書向賣方要求索賠。如上述規(guī)定之索賠期與質(zhì)量保證期不一致，在質(zhì)量保證期限內(nèi)買方仍可向賣方就質(zhì)量保證條款之內(nèi)容向賣方提出索賠。

　　The buyers shall lodge claims against the sellers based on the Inspection Certificate issued by China Inspection Authority Days after the arrival of the goods at the destination , if the goods are found to be damaged , missing or the specifications , quantity, and quality not in conformity with those specified in this contract and Letter of Quality Guarantee . In case the claim period above specified is not in conformity with the quality guarantee period, during the quality guarantee period, the buyers have rights to lodge claims against the sellers concerning the quality guarantee.

　　18.延期交貨違約金

　　Late delivery and penalty

　　除雙方認(rèn)可的不可抗力因素外，賣方遲于合同規(guī)定的期限交貨，如買方同意遲延交貨，賣方應(yīng)同意對(duì)信用證有關(guān)條款進(jìn)行個(gè)性和同意銀行在議付貨款時(shí)扣除本條規(guī)定的違約金。違約金總值不超過貨物總價(jià)值的5%，差率按7天0.5%計(jì)算，不滿7天仍按7天計(jì)算。在未采用信用證支付的情況下，賣方應(yīng)將前述方法計(jì)算的違約金即付買方。

　　If the sellers fail to make delivery on time as stipulated in the contract , with exception of Force Majeure, the buyers shall agree to postpone the delivery on conditions that the sellers agree to amend the clauses of the L/C and pay a penalty which shall be deducted by the paying bank from the payment under negotiation . The penalty , however , shall not exceed 5% of the total value of the goods . The rate of penalty is charged at 0.5%for every seven days , if less that seven days. In case , the payment is not made through L/C , the sellers shall pay the penalty counted as above to the buyers as soon as possible.

　　19.人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履約，賣方概不負(fù)責(zé)，但賣方應(yīng)將上述發(fā)生的情況及

　　時(shí)通知買方。

　　Force Majeure : The sellers shall not hold any responsibility for partial or total non-performance of this contract due to Force Majeure . But the sellers shall advise the buyers on times of such occurrence.

　　20.爭(zhēng)議之解決方式：

　　Disputes settlement :

　　任何因本合同而發(fā)生或與本合同有關(guān)的爭(zhēng)議，應(yīng)提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)，按該會(huì)的仲裁規(guī)則進(jìn)行仲裁。仲裁地點(diǎn)在中國深圳。仲裁裁決是終局的，對(duì)雙方均有約束力。

　　All disputes arising out of the contract or in connection with the contract , shall be submitted to the China International Economic and Trade Arbitration Commission for arbitration in accordance with its Rules of Arbitration in ShenZhen China . The arbitral award is final and binding upon both parties.

　　21.法律適用

　　Law application :

　　本合同之簽訂地、或發(fā)生爭(zhēng)議時(shí)貨物所在地在中華人民共和國境內(nèi)或被訴人為中國法人的，適用中華人民共和國法律，除此規(guī)定外，適用《聯(lián)合國國際貨物銷售公約》。

　　It will be governed by the law of the People’s Republic of China under the circumstances that the contract is singed or the goods while the disputes arising are in the People’s Republic of China or the deffendant is Chinese legal person , otherwise it is governed by United Nations Convention on Contract for the International Sale of Goods .

　　22.本合同使用的FOB、CFR、CIF、DDU 術(shù)語系根據(jù)國際商會(huì)《Incoterms 1990》

　　23.文字：本合同中、英兩種文字具有同等法律效力，在文字解釋上，若有異議，以中文解釋為準(zhǔn)。

　　第一條合同標(biāo)的和價(jià)格

　　________外貿(mào)公司在____國界車上交貨條件下按本合同附件1向________公司提供商品。商品以美元計(jì)價(jià)，系____國界車上交貨價(jià)，包括包皮、包裝和標(biāo)記的費(fèi)用。

　　根據(jù)附件1由________國向____國供貨的總值為________美元。

　　第四條包裝

　　賣方應(yīng)在包裝貨物時(shí)采取所有預(yù)防措施以保證貨物在儲(chǔ)存、海運(yùn)、陸運(yùn)、吊裝時(shí)完好無損。

　　第五條商品的品質(zhì)和保證

　　所供商品的品質(zhì)應(yīng)由品質(zhì)證明書加以確認(rèn)，該證書確認(rèn)商品品質(zhì)符合生產(chǎn)國的技術(shù)條件和國家標(biāo)準(zhǔn)。

　　所供商品的品質(zhì)性能應(yīng)與標(biāo)準(zhǔn)樣品相一致，標(biāo)準(zhǔn)樣品在簽定合同時(shí)交給買方，在保證期內(nèi)留存買方并在對(duì)供貨品質(zhì)發(fā)生爭(zhēng)議的情況下供雙方使用。

　　保證期為供貨后9個(gè)月。

　　第六條索賠

　　購方可按________________（兩國貿(mào)易文件或協(xié)定）所規(guī)定的期限和程序在下列方面提出索賠。

　　1.貨物的數(shù)量

　　如貨物數(shù)量與明細(xì)單注明的數(shù)量不符，在包裝完整和沒有外部損傷（內(nèi)        短缺）的情況下，購方有權(quán)憑檢驗(yàn)證書提出索賠。

　　如果貨物的發(fā)運(yùn)系按發(fā)貨人確定的重量發(fā)出，而國境交接站雙方鐵路交接中發(fā)現(xiàn)不足，并不屬鐵路方面的過失，可根據(jù)雙方鐵路方面編制的商務(wù)記錄提出索賠。

　　2.貨物的質(zhì)量

　　如貨物品質(zhì)與合同規(guī)定不符時(shí)，可根據(jù)商品檢證或無利害關(guān)系的權(quán)威機(jī)關(guān)的代表參與制成的記錄提出異議。

　　如售方所供貨物的品質(zhì)，不符合合同規(guī)定的技術(shù)條件或與雙方確認(rèn)的樣品不符時(shí)，購方有權(quán)要求售方或者削價(jià)、或者更換貨物。如果售方自收到異議之日起60天內(nèi)不作最后決定，或不同意檢驗(yàn)證書中確定的削價(jià)百分比時(shí)，則購方有權(quán)將品質(zhì)不合格的貨物按售方提供的地址退給售方。售方應(yīng)在本合同規(guī)定的異議審理期限內(nèi)將退貨地址通知購方。

　　如果在每批貨物中發(fā)現(xiàn)殘次品占20％以上，收貨人則將退回全部貨物。由于質(zhì)量原因退回貨物時(shí)所產(chǎn)生的全部費(fèi)用由售方承擔(dān)。

　　在這種情況下，售方?jīng)]有免除向購方補(bǔ)發(fā)數(shù)量相同并符合合同規(guī)定的貨物責(zé)任。

　　在終點(diǎn)站檢驗(yàn)貨物的數(shù)量和/或質(zhì)量所需要的一切費(fèi)用由購方承擔(dān)。

　　第七條不可抗力條款

　　由于發(fā)生不可抗力情況，而直接影響本合同的履行時(shí)，售方對(duì)本合同受不可抗力影響的部分義務(wù)或全部義務(wù)無法履行的責(zé)任不予承擔(dān)。經(jīng)雙方協(xié)商，履行本合同義務(wù)的期限也可相應(yīng)推遲。發(fā)生不可抗力情況一方應(yīng)自災(zāi)情結(jié)束之日起10日內(nèi)將有關(guān)發(fā)生不可抗力的性質(zhì)、毀壞程度及影響合同履行的情況書面通知對(duì)方。如對(duì)方有異議，發(fā)生不可抗力情況一方憑其所在國有權(quán)機(jī)關(guān)的認(rèn)證書豁免責(zé)任。

　　第八條仲裁

　　由本合同所產(chǎn)生或與本合同有關(guān)的一切糾紛，應(yīng)盡可能通過雙方談判解決。如雙方不能達(dá)成協(xié)議，則提交____國對(duì)外經(jīng)濟(jì)貿(mào)易仲裁機(jī)關(guān)仲裁。
