乙方：中國(guó)電子商會(huì)電源專業(yè)委員會(huì)行業(yè)推薦產(chǎn)品委員會(huì)
為保證行業(yè)推薦產(chǎn)品證書和標(biāo)志的正確使用，維護(hù)證書和標(biāo)志的權(quán)威性、信譽(yù)、企業(yè)的利益以及消費(fèi)者的合法權(quán)益，依據(jù)《中國(guó)電源*業(yè)推薦產(chǎn)品證書和標(biāo)志使用管理辦法》（試行），甲乙雙方經(jīng)協(xié)商，達(dá)成以下協(xié)議：
一、適用范圍
本協(xié)議適用于在協(xié)議有效期內(nèi)獲得中國(guó)電源*業(yè)推薦產(chǎn)品證書的所有產(chǎn)品。
二、權(quán)利和義務(wù)
乙方：
1.及時(shí)向獲得證書的甲方頒發(fā)中國(guó)電源*業(yè)推薦產(chǎn)品證書，審批甲方標(biāo)志印制申請(qǐng)。
2.監(jiān)督和指導(dǎo)甲方正確宣傳和使用證書和標(biāo)志。
3.在證書有效期內(nèi)，對(duì)甲方每年至少進(jìn)行一次年度監(jiān)督檢查和證書有效性的確認(rèn)，依據(jù)監(jiān)督檢查和有效性確認(rèn)結(jié)果對(duì)甲方證書的使用做出保持、更換、暫停、撤消或注銷的決定，并對(duì)撤消或注銷結(jié)果予以公布。特殊情況下（如產(chǎn)品出現(xiàn)嚴(yán)重質(zhì)量問題、顧客投訴等），乙方有權(quán)增加監(jiān)督檢查的頻次。
甲方：
1.使用證書和標(biāo)志的范圍：
a）可在獲證產(chǎn)品廣告和宣傳材料上使用證書和標(biāo)志，但不得將某一產(chǎn)品的證書作為整個(gè)甲方獲得產(chǎn)品證明，并加以宣傳，從而產(chǎn)生誤導(dǎo)作用；
b）可在獲證產(chǎn)品的外觀、產(chǎn)品銘牌、產(chǎn)品包裝、產(chǎn)品說明書、出廠合格證上使用標(biāo)志；
c）可在工程投標(biāo)、產(chǎn)品銷售過程中，向顧客出示推薦產(chǎn)品證書；
d）不得在非獲得證書產(chǎn)品上使用推薦產(chǎn)品標(biāo)志。
2.獲得證書的產(chǎn)品須在產(chǎn)品適當(dāng)?shù)耐庥^或產(chǎn)品最小外包裝物上粘貼一枚推薦產(chǎn)品標(biāo)志，以利于消費(fèi)者識(shí)別以及監(jiān)察部門及乙方推薦產(chǎn)品機(jī)構(gòu)的市場(chǎng)監(jiān)督。
3.推薦產(chǎn)品標(biāo)志由乙方統(tǒng)一規(guī)定樣式，甲方不得自行更改。其圖案、尺寸及顏色必須符合《中國(guó)電源*業(yè)推薦產(chǎn)品證書和標(biāo)志使用管理辦法》的規(guī)定。
4.甲方直接印刷于獲證產(chǎn)品的外包裝物、產(chǎn)品銘牌、產(chǎn)品說明書、出廠合格證上的推薦產(chǎn)品標(biāo)志，應(yīng)注明證書編號(hào)。
5.自行印制的粘貼在產(chǎn)品外觀或外包裝物上的推薦產(chǎn)品標(biāo)志和直接印刷于產(chǎn)品外包裝物、產(chǎn)品銘牌、產(chǎn)品說明書、出廠合格證等上的推薦產(chǎn)品標(biāo)志，甲方須事先向乙方提出申請(qǐng)，未經(jīng)批準(zhǔn)，甲方不得以任何形式自行印制。
6.甲方應(yīng)建立推薦產(chǎn)品標(biāo)志使用制度，乙方要求時(shí)應(yīng)書面報(bào)告推薦產(chǎn)品證書和標(biāo)志的使用情況，報(bào)告應(yīng)包括獲證產(chǎn)品生產(chǎn)情況和標(biāo)志的實(shí)際使用情況等內(nèi)容。
7.當(dāng)推薦產(chǎn)品證書被暫停、撤消或注銷后，立即停止涉及認(rèn)證內(nèi)容的廣告宣傳，停止推薦產(chǎn)品標(biāo)志的使用。在推薦產(chǎn)品證書被撤消或注銷的情況下，還應(yīng)按乙方要求交回有關(guān)文件（包括推薦產(chǎn)品證書）。
8.自愿接受乙方對(duì)推薦產(chǎn)品證書和推薦產(chǎn)品標(biāo)志使用情況進(jìn)行的監(jiān)督及管理，自愿接受乙方的質(zhì)量體系監(jiān)督審核和產(chǎn)品監(jiān)督檢驗(yàn)。
9.應(yīng)確保推薦產(chǎn)品證書有效期內(nèi)，獲證型號(hào)產(chǎn)品始終符合認(rèn)證要求。
三、費(fèi)用
1.甲方應(yīng)按規(guī)定向乙方交納年度監(jiān)督評(píng)審費(fèi)和年金（見推薦產(chǎn)品證書評(píng)審收費(fèi)標(biāo)準(zhǔn)）。
中國(guó)電源*業(yè)推薦產(chǎn)品證書評(píng)審收費(fèi)標(biāo)準(zhǔn)中國(guó)電子商會(huì)電源專業(yè)委員會(huì)行業(yè)推薦產(chǎn)品委員會(huì)不以贏利為目的，實(shí)行有償服務(wù)。參照?qǐng)?zhí)行國(guó)家“計(jì)價(jià)格[1999]1610號(hào)”文件規(guī)定的收費(fèi)標(biāo)準(zhǔn)，具體注冊(cè)收費(fèi)項(xiàng)目和標(biāo)準(zhǔn)如下：
1）申請(qǐng)費(fèi)：1500元；
2）評(píng)定與注冊(cè)（含證書費(fèi)）：3000元；
3）年金（含標(biāo)志使用費(fèi)）：5000元；
4）公告費(fèi)500元。
（指定《中國(guó)電源博覽》和“中國(guó)電源*業(yè)資訊”向社會(huì)公示）
2.特殊情況下（如認(rèn)證產(chǎn)品出現(xiàn)嚴(yán)重質(zhì)量問題、顧客投訴等）進(jìn)行的監(jiān)督檢查（包括對(duì)甲方整改措施的復(fù)查等），其間發(fā)生費(fèi)用由甲方支付。
四、罰則
凡甲方未按乙方規(guī)定正確使用推薦產(chǎn)品證書和推薦產(chǎn)品標(biāo)志時(shí)，乙方有權(quán)進(jìn)行追究，視情節(jié)向甲方提出處罰并做出相應(yīng)處理，必要時(shí)，可依據(jù)《中華人民共和國(guó)商標(biāo)法》、《中華人民共和國(guó)商標(biāo)法實(shí)施條例》和《中國(guó)電源*業(yè)推薦產(chǎn)品證書和標(biāo)志使用管理辦法》等有關(guān)法律、法規(guī)進(jìn)行法律訴訟。
五、協(xié)議期限
本協(xié)議期限為：_________年_________月_________日至_________年_________月_________日（證書有效期）。
協(xié)議期滿，未經(jīng)復(fù)評(píng)，協(xié)議有效期限內(nèi)所獲得的認(rèn)證證書均視為無效。甲方應(yīng)及時(shí)申請(qǐng)復(fù)評(píng)，復(fù)評(píng)合格后，重新與乙方簽訂《中國(guó)電源*業(yè)推薦產(chǎn)品證書和標(biāo)志使用協(xié)議書》，即可恢復(fù)上一協(xié)議期內(nèi)未滿期限證書的有效性。
協(xié)議自雙方簽字蓋章之日起生效，任何一方要求終止本協(xié)議應(yīng)提前一個(gè)月向?qū)Ψ阶龀雎暶鞑⒊浞终f明理由。
六、其它
本協(xié)議一式兩份，甲乙雙方各執(zhí)一份，具有同等法律效力。

13.裝運(yùn)條款：

賣方應(yīng)在合同規(guī)定的裝運(yùn)日期前30天，以電報(bào)/電傳/傳真通知買方合同號(hào)、品名、數(shù)量、金額、包裝件、毛重、尺碼及裝運(yùn)港可裝日期，以便買方安排租船/訂艙。裝運(yùn)船只按期到達(dá)裝運(yùn)港后，如賣方不能按時(shí)裝船，發(fā)生的空船費(fèi)或滯期費(fèi)由賣方負(fù)擔(dān)。在貨物超過船舷并脫離吊鉤以前一切費(fèi)用和風(fēng)險(xiǎn)由賣方負(fù)擔(dān)。

15.質(zhì)量保證：

貨物品質(zhì)規(guī)格必須符合本合同及質(zhì)量保證書之規(guī)定，品質(zhì)保證期為貨到目的港_________個(gè)月內(nèi)，在保證期限內(nèi)，因制造廠商在設(shè)計(jì)制造過程中的缺陷造成的貨物損害應(yīng)由賣方負(fù)責(zé)賠償。

17.索賠
claims:
如經(jīng)中國(guó)_________檢驗(yàn)機(jī)構(gòu)復(fù)檢，發(fā)現(xiàn)貨物有損壞、殘缺或品名、規(guī)格、數(shù)量及質(zhì)量與本合同及質(zhì)量保證書之規(guī)定不符，買方可于貨到目的港后_________天內(nèi)憑上述檢驗(yàn)機(jī)構(gòu)出具的證明書向賣方要求索賠。如上述規(guī)定之索賠期與質(zhì)量保證期不一致，在質(zhì)量保證期限內(nèi)買方仍可向賣方就質(zhì)量保證條款之內(nèi)容向賣方提出索賠。

18.延期交貨違約金
late delivery and penalty
除雙方認(rèn)可的不可抗力因素外，賣方遲于合同規(guī)定的期限交貨，如買方同意遲延交貨，賣方應(yīng)同意對(duì)信用證有關(guān)條款進(jìn)行個(gè)性和同意銀行在議付貨款時(shí)扣除本條規(guī)定的違約金。違約金總值不超過貨物總價(jià)值的5%，差率按7天0.5%計(jì)算，不滿7天仍按7天計(jì)算。在未采用信用證支付的情況下，賣方應(yīng)將前述方法計(jì)算的違約金即付買方。
if the sellers fail to make delivery on time as stipulated in the contract ， with exception of force majeure， the buyers shall agree to postpone the delivery on conditions that the sellers agree to amend the clauses of the l/c and pay a penalty which shall be deducted by the paying bank from the payment under negotiation . the penalty ， however ， shall not exceed 5% of the total value of the goods . the rate of penalty is ged at 0.5%for every seven days ， if less that seven days. in case ， the payment is not made through l/c ， the sellers shall pay the penalty ed as above to the buyers as soon as possible.
19.人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履約，賣方概不負(fù)責(zé)，但賣方應(yīng)將上述發(fā)生的情況及時(shí)通知買方。
force majeure : the sellers shall not hold any responsibility for partial or total non-performance of this contract due to force majeure . but the sellers shall advise the buyers on times of such occurrence.
20.爭(zhēng)議之解決方式：
disputes settlement :
□任何因本合同而發(fā)生或與本合同有關(guān)的爭(zhēng)議，應(yīng)提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)，按該會(huì)的仲裁規(guī)則進(jìn)行仲裁。仲裁地點(diǎn)在中國(guó)深圳。仲裁裁決是終局的，對(duì)雙方均有約束力。
all disputes arising out of the contract or in connection with the contract ， shall be submitted to the china international economic and trade arbitration commission for arbitration in accordance with its rules of arbitration in shenzhen china . the arbitral award is final and binding upon both parties.

21.法律適用
law application :
本合同之簽訂地、或發(fā)生爭(zhēng)議時(shí)貨物所在地在中華人民共和國(guó)境內(nèi)或被訴人為中國(guó)法人的，適用中華人民共和國(guó)法律，除此規(guī)定外，適用《聯(lián)合國(guó)國(guó)際貨物銷售公約》。
it will be governed by the law of the people’s republic of china under the circumstances that the contract is singed or the goods while the disputes arising are in the people’s republic of china or the deffendant is chinese legal person ， otherwise it is governed by united nations convention on contract for the international sale of goods .
22.本合同使用的fob、cfr、cif、ddu 術(shù)語系根據(jù)國(guó)際商會(huì)《incoterms 1990》
23.文字：本合同中、英兩種文字具有同等法律效力，在文字解釋上，若有異議，以中文解釋為準(zhǔn)。

第四條 乙方受托發(fā)放貸款，應(yīng)與借款人簽訂借貸合同。借貸合同副本應(yīng)送甲方。
第五條 乙方應(yīng)按還款計(jì)劃約定的期限如期收回貸款本息，乙方收回的貸款本息，最遲應(yīng)于收回貸款后的________個(gè)營(yíng)業(yè)日內(nèi)如數(shù)劃繳甲方。
第六條 因甲方審查定項(xiàng)失誤，造成經(jīng)濟(jì)損失的，由甲方自行負(fù)責(zé)，乙方不承擔(dān)經(jīng)濟(jì)責(zé)任。
第七條 因乙方審查定項(xiàng)失誤，造成經(jīng)濟(jì)損失的，乙方應(yīng)承擔(dān)經(jīng)濟(jì)責(zé)任，賠償甲方因此而遭受的經(jīng)濟(jì)損失。
第八條 甲方有權(quán)檢查、監(jiān)督貸款的使用情況。乙方應(yīng)按甲方要求向甲方報(bào)送貸款使用的有關(guān)資料。
第九條 甲方委托乙方發(fā)放貸款，應(yīng)向乙方支付手續(xù)費(fèi)，手續(xù)費(fèi)的計(jì)算方法和計(jì)付方式如下：

第十條 本合同生效后，甲、乙任何一方不得擅自變更、解除合同。需變更或解除合同時(shí)，應(yīng)經(jīng)雙方協(xié)商一致，達(dá)成書面協(xié)議。
第十一條 違約責(zé)任
1.甲方未按本合同第三條的約定如期向乙方撥付資金，致使乙方未能按借貸合同的約定按時(shí)向借款人提供貸款，甲方應(yīng)賠償乙方向借款人支付的違約金和賠償金。
2.乙方未按本合同第五條的約定如期將收回的貸款本息劃繳甲方，應(yīng)根據(jù)未繳金額按延期天數(shù)每日向甲方支付萬分之______的違約金。
第十二條 雙方商定的其他事項(xiàng)：________________________________________
第十三條 乙方向甲方提交的用款、還款計(jì)劃，是本合同的組成部分。
第十四條 本合同自雙方法定代表人或主要負(fù)責(zé)人簽字或蓋章并加蓋單位公章之日起生效。
